ARTICLE I - ORGANIZERS AND LOCATION

ARTICLE II - OFFICES
The principal office of this Chapter will be located at 193 Vischer Ferry Road, Rexford, NY 12148.

ARTICLE III - RELATION OF CHAPTER TO THE CORPORATE ORGANIZATIONS
The Adirondack Woodturners Association (AWA) shall be Associated with Chapter status with the American Association of Woodturners (AAW) and as a Special Interest Group (SIG) with the Northeastern Woodworkers Association (NWA). The Adirondack Woodturners Association will conduct its affairs in compliance with the By-laws and Certificates of Incorporation of these two Organizations (AAW and NWA).

ARTICLE IV - PURPOSES
The Adirondack Woodturners Association's purpose is: To provide a means of advancing the specific art and craft of woodturning as well as that of woodworking, in general, and to provide the members with the means to have fun in accomplishing this end.

ARTICLE V - GOVERNANCE
The Adirondack Woodturners Association shall be governed by a Board, which sets policy and assumes responsibility for the affairs of the Association. The Board shall consist of the Ptresident, Vice President, Secretary, Treasurer, 3 Elected Board Members, the Immediate past President, and the appointed chairpersons of standing committees. The number of Board members hall not exceed 12 members.

Meeting of the AWA Board will take place at least 10 times per year and at such times as six (6) Board members decide.

ARTICLE VI - MEMBERSHIP
Any person interested specifically in woodturning or woodworking in general shall be accepted as a member of the Adirondack Woodturners Association. Membership in the AWA will exist at the following levels.

Membership Level A: Any person wishing to belong to AWA will be granted Level A status by filling out a membership form and submitting it to the AWA Membership Chairperson with a yearly $20 Acitivity Fee to help cover the costs of the Association's programming. Level A members will receive the Association Newsletter, will be admitted to paid Association functions at reduced rates, will have full Library privileges, and will benefit from other privileges as defined by the Board.

Membership Level B: Any person will be granted membership Level B status by smply filling out a membership form and submitting it to the Membership chairperson. Level B members will receive the Association Newsletter but will not receive privileges designated by these By-Laws or by the Board to Level A Membership.

Members at both Level A and Level B will have voting rights in the AWA.

Additional conditions of membership and levels of membership in AWA may be established by the Board.

AWA will not impose dues upon its members. Donations and/or gifts are gratefully accepted.

AWA meetings and funcations are open to non-members.

ARTICLE VII - MEETINGS
General Meetings will be held on the first Wednesday of each month with the exception of January and July when meetings will be held on the second Wednesday. The Annual meeting will be held in December of each year and will provide for the election of officers. Meetings will begin at 6:30 pm. The meetings will be held at a place determined by the Board. A notice of each regularly scheduled meeting will be included in each Association newsletter.

ARTICLE VIII - ELECTED POSITIONS WITHIN THE AWA
The elected officers of the AWA shall be a President, a Vice President, a Secretary, and a Treasurer. These elected officers shall be elected by a majority vote of the group's members at the regularly scheduled Annual Meeting in December for a term of two (2) years on a staggered basis as indicated below.

All elected officers of the Adirondack Woodturners Assocation shall be members in good standing of the Northeastern Woodwokers Association and the American Assocation of Woodturners, Inc., and be members of AWA at Level A status.

Three (3) additional Board Members with a term of three (3) years will be elected by a majority vote of the members at the regularly scheduled Annual Meeting for staggered terms as indicated below.

Terms of Office: The President, Vice President Secretary and Treasurer shall hold office for two (2) years. Elected Board Members will be elected for a term of two (2) years. The election schedule shall be as follows:

Year 1 President, Vice President, Secretary, Treasurer
Year 2 3 Board Members
Year 3 President, Vice President, Secretary, Treasurer
Year 4 3 Board Members


A person can only fill an elected position for two consecutive terms.

Removal: Any elected officer or elected Board member may be removed when it is deemed that the best interest of the group would be served by such removal. This would be accomplished by a majority vote of the Chapter's members, who are present at the time of the vote, so long as at least 50% of the members are present.

Vacancies: A vacancy in any Office because of death, resignation, removal, disqualification, or otherwise may be filled by a person appointed by the Board for the unexpired portion of the term.

President: The President shall be the principal executive office of the Group. His/Her duties include 1. Supervise and control all of the business and affairs of the group; 2. Conduct group meetings; 3. Insure taht all books, reports and certificates as required by law are properly kept. The President shall appoint, with Board approval, the chairpersons of the Standing committees. At the conclusion of the President's term he/she remains on the Board for two year in the position of immediate past president until the next change froma vice president to president occurs.

Vice President: In the absence of the President or in the event of his/her death, inability, or refusal to act, the Vice President shall perform the duties of President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice President shall perform such other duties as from tiem to time may be assigned to him/her by the President. At the conclusion of the President's term of office, the Vice President will become the President of the Association.

Secretary: The Secretary shall keep the minutes of the Board meetings in one or more books provided for that purpose, present to the Board at any meeting, any communication addressed to him/her or the Group, see taht all notices are duly given in accordance with the provisions of these By-Laws. In general, the Secretary shall perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him/her by the President.

Treasurer: The Treasurer shall collect all membership donations and all other monies belonging to the Association. He/She will be responsible for keeping current and accurate records of all monies that flow through the group. He/She will maintain one or more accounts in a federally insured financial institution, and render a monthly written account of the finances of the group. This monthly account shall be presented at AWA Board meetings and a copy sent to the NWA Treasures for accounting purposes. In general, the Treasurer shall perform all of the duties incident to the office of Treasurer and such other duties as from time to time may be may be assigned to him or her by the President.

Elected Board Members: Each Elected Board member will act as a chairperson of a standing committee as appointed by the President with the approval of the Board.

Immediate Past President: The Immediate past president shall serve as special advisor to the Board. He/She may accept appointment as chairperson or member of the Association's committees.

ARTICLE IX - STANDING COMMITTEES
The Refreshment Committee will provide refreshments for all regularly scheduled meetings as well as special meetings of the Assocition when asked to do so.

The Library Committee will provide a lending library to the organization at regularly scheduled meetings.

The Publications Committee will arrange for a program for each regularly scheduled meeting of a nature related to the purpose of theh organization.

The Special Program Committee will arrange at least two (2) special programs for the organization each year on topics related to the interest of the organziation.

The Membership Committee shall be responsible for the maintenance of current membership lists, mailing labels for members, and will prepare yearly membership lists to be made available to the members. The committee will also assist the Treasurer in maintaining up to date records related to member donations.

The Fund Raising Committee will be responsible for all fundraising activities of the organization with the exception of funds raised through special programs, refreshments, and member donations.

Ad Hoc Committees: Committees for specific purposes and linited tenure may be established by the Board or by the President with the concurrence of the Board for any purpose consistent with the purpose of the organization.

ARICLE X - QUORUM
Quorum: Those members present at regular meetings will constitute a quorum. The presence of 7 Board members at a Board meeting will constitute a quorum for Board Meetings.

ARTICLE XI - FISCAL MATTERS
Fiscal Matters: The fiscal year of the group shall begin on Sept. 1 and end on the succeeding August 31. The Official bank of the group shall be designated by the Board. No Board Member or appointee shall commit to the expenditure of funds not covered by an approved budget without the prior approval of a committee make up of the PTresident, Treasurer, and Secretary.

ARTICLE XII - BENEFITS ADN DISSOLUTION
Benefits and Dissolution: Net income received from activities conducted or sponsored by the group, or assets given to it, shall be applied to the operation of the group and the support of it purpose. No asset of the group shall inure to the pecuniary benefit of any group member. In the event of the dissolution of the group, the Board, after payment of all debts and obligations, shall distribute the remaining assets will become the property of the Norhteastern Woodworkers Association.

ARTICLE XIII - INDEBTEDNESS
AAW's national office MUST be notified in writing PRIOR to Local Chapter incurring any indebtedness for AAW.

All expenditures of NWA monies beyond those allotted to the AWA through the normal NWA budgeting process shall require the approval of the NWA Board of Directors.

ARITCLE XIV - DISCLAIMERS: FISCAL AND LEGAL
The corporation, the American Association of Woodturners, Inc., specifically disassociates itself from any debts, obligations or encumbrances of the Local Chapter. The Corporate Board of Directors of AAW is not responsible for the debts nor shares in the profits of the Local Chapters. The Corporate Organization does not shoulder any legal liability for accidents that occur during events of any kind sponsored or unsponsored by a Local Chapter.

ARTICLE XV - AMENDMENTS
The By-Laws may be altered, amended, or repealed and new By-Laws may be adopted by a vote of a simple majority of the members of the Adirondack Woodturners Association, provided that the proposed amendments shall have been submitted to the membership at least two (2) weeks in advance.

Copies of the By-Laws and all modifications to them will be filed in a timely fashion with all associated organizations.
